GVH president: Simplified administration in merger cases is becoming more and more popular among companies
The Economic Competition Authority (GVH) is trying to contribute to the reduction of the administrative burden of domestic enterprises with a number of initiatives. Balázs Csaba Rigó, president of the GVH, said: “The simplified forms, which have been available for more than a year, are increasingly popular among companies, in the first half of 2024 more than 31% of merger cases used the option.” Together with the so-called prenotification negotiations, businesses can significantly shorten the time for assessing mergers.
With a view to reducing the administrative burden of the procedures and making them more efficient, the Economic Competition Authority provides from July 1, 2023 the opportunity for customers to comply with their notification obligation to the GVH by filling out a simplified form in cases where the planned merger does not raise competition concerns. towards. Completing the simplified form is more flexible and easier, and it expects businesses to provide data focusing on the obvious absence of the competition problem. With this, the national competition authority contributes significantly to reducing the burden of data provision on businesses.
A simplified form can be used if
- no overlapping and/or related markets can be identified in connection with the merger to be investigated, or;
it refers to the establishment of a fully functional joint venture whose substantial market activity in Hungary will verifiably not take place within the foreseeable future (as a rule, three years), or; - acquisition of joint control over a company whose net sales revenue calculated according to the Competition Act does not exceed HUF 150 million, and there is no chance of competition-damaging coordination between the founders or those in control, or;
- results in the reduction of the number of joint managers or the transformation of joint management into sole management.
“More than a year ago, we introduced the simplified forms for the notification of mergers, which are increasingly popular among companies. While last year, following the introduction of the form, businesses submitted the simplified form in 11% of cases, in the first half of 2024 this proportion had already reached 31%, so almost every third business took advantage of the opportunity”
